These Terms of Use (“Terms”) constitute an agreement between you (“User” or “you”) and Walme and its associated services, including the use of WLM tokens and participation in the token sale (“Walme,” “WLM,” “we,” “our,” or “us”). By accessing or using Walme, participating in the token sale, and using WLM tokens, you agree to comply with these Terms.

1. ACCEPTANCE OF TERMS

By accessing Walme and using WLM tokens, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not use Walme, participate in the token sale, or use WLM tokens.

2. USE OF WALME

  • 2.1 General Use: Walme seamlessly integrates crypto management, fiat services, and secure messaging into one platform. Users must comply with these Terms and any applicable laws while using Walme.
  • 2.2 Restricted Activities: Users shall not engage in any unlawful, abusive, or unauthorized activities, including but not limited to harassment, spam, or data scraping.

3. USE OF WLM TOKEN

  • 3.1 WLM Token Functionality: The WLM token is designed to facilitate transactions and interactions within the Walme ecosystem.
  • 3.2 Token Ownership: Users hold complete ownership and responsibility for their WLM tokens and associated activities on the blockchain.
  • 3.3 No WLM Storage by Walme: Walme does not store WLM tokens on behalf of users. Users are responsible for securely storing their WLM tokens and private keys.

4. TOKEN SALE

  • 4.1 Token Sale Participation
    • 4.1.1 Token Sale Details:

      Participation in the WLM token sale is subject to specific terms and conditions outlined in the respective token sale documentation. Users are encouraged to carefully review and understand these terms before participating.

      Participation in the WLM token sale is governed by these Terms and the Token Sale Agreement (TSA), which is available at https://tokensale.walme.io/docs/token-sale-agreement.pdf. By contributing to the token sale, you acknowledge that you have read, understood, and agreed to the TSA and these Terms. In the event of any conflict between the Terms of Use and the TSA, the provisions of the TSA shall prevail.

      Participation in the WLM token sale is governed by these Terms and the Token Sale Agreement (TSA), which is available at https://tokensale.walme.io/token-sale-agreement. By contributing to the token sale, you acknowledge that you have read, understood, and agreed to the TSA and these Terms. In the event of any conflict between the Terms of Use and the TSA, the provisions of the TSA shall prevail.

    • 4.1.2 No Guarantee: Participation in the token sale does not guarantee any future profits, rewards, or benefits. The value of the WLM token may fluctuate, and users acknowledge and accept this inherent risk.
    • 4.1.3 Eligibility Restrictions: Users who are residents or citizens of jurisdictions where participation in token sales is restricted or prohibited by law — including, but not limited to, the United States, Canada, China, Iran, North Korea, Syria, and Cuba — as well as jurisdictions subject to broad international sanctions or financial restrictions, are not permitted to participate in the WLM token sale.
  • 4.2 Disclaimer of Responsibility
    • 4.2.1 Not Financial Advisors: Walme does not provide financial, investment, or legal advice. Users are solely responsible for their investment decisions, and any investment in the WLM token is at their own risk.
    • 4.2.2 No Token Storage: Walme does not store WLM tokens or any other cryptocurrency. All tokens are stored on the blockchain, and users manage their private keys on their own devices.
    • 4.2.3 Participation in the token sale may be subject to identity verification (KYC) and compliance with applicable anti-money laundering (AML) regulations. Failure to complete verification may result in denial of access to the token sale.

5. DISCLAIMER

  • 5.1 No Warranty: Walme and WLM tokens are provided “as is” without any warranties, express or implied.
  • 5.2 Security: We cannot guarantee the security of Walme, the blockchain, or any related technology, and users are urged to take necessary precautions.

6. MODIFICATIONS AND UPDATES

  • 6.1 Modification of Terms: Walme reserves the right to modify or update these Terms at any time without prior notice. It is the responsibility of the user to review these Terms periodically for changes.
  • 6.2 Notification of Changes: Significant changes to these Terms will be communicated to users through the Walme platform or via email.

7. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of Czech Republic. Any disputes arising out of these Terms shall be subject to the exclusive jurisdiction of the courts in Czech Republic.

8. LIMITATION OF LIABILITY

You understand that Walme, its affiliates, and its respective officers, directors, agents, and employees shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, resulting from the use or inability to use Walme, WLM tokens, or the token sale.

9. Site Updates

We regularly update technical, content and other information on the Site. However, we make no claim in guaranteeing the completeness, accuracy, and compliance of the information provided at the Site. We are able to add, review or delete information, resources, and services posted on the Site.

10. Data Protection

We respect the confidentiality of private and personal information of all cooperating parties. However, there is no perfect secure method of protecting information during its storage, processing, and transfer into electronic form, we do not give the full warranty of its complete safety, despite all efforts made by Walme.

11. Disclaimers and Limitation of Liability

You understand that we cannot and do not guarantee or warrant that files available for downloading from the internet or the Site will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to our site for any reconstruction of any lost data. WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE SITE OR ITEMS OBTAINED THROUGH THE SITE OR TO YOUR DOWNLOADING OF ANY MATERIAL POSTED ON IT, OR ON ANY SITE LINKED TO IT.

12. Applicable Law

These Terms of Use shall be governed by and construed in accordance with Czech Republic. Any disputes relating to these Terms of Use shall be subject to the exclusive jurisdiction of the courts of Czech Republic.

Any provision of these Terms of Use that is prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions hereof, and any such prohibition or unenforceability in any jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.
